At Vodanet Systems LLC, we strive to maintain an extensive inventory of Network Hardware products to meet our customers’ needs. However, we may offer backorders to customers in situations when the demand for a particular product exceeds the available inventory. This can happen due to various reasons, such as supply chain disruptions, unexpected surges in demand, manufacturing delays, or limited production capacity.
By placing a backorder with Vodanet Systems LLC, the Buyer agrees to these terms and conditions:
PLACING A BACKORDER
You may place a backorder by contacting our customer support team through phone or email. We will give you an estimated restocking date and keep you informed during the process.
PAYMENT
Payment for backordered items will be fully or partially (based on your payment terms with Vodanet Systems LLC) processed at the time of placing the backorder. This allows us to reserve the item for you and prioritize your order once the product is back in stock.
SHIPPING AND DELIVERY
As soon as the backordered product becomes available, we will promptly ship the item to you using your chosen shipping method. You will receive a shipping confirmation email with tracking information to monitor your order’s progress.
ORDER UPDATES
We will provide regular updates on your backordered item’s status, including any changes to the estimated restocking date. If the restocking date changes significantly, you may choose to cancel your backorder without incurring any penalties.
NON-REFUNDABLE AND NON-CANCELLABLE
The buyer acknowledges and accepts that all backorders are considered non-refundable and non-cancellable, and they agree to purchase the specified quantity and type of product(s) listed in the backorder. Depending on the specific terms and conditions of the order, Vodanet Systems LLC may permit the customer to cancel the order if the restocking delay is significant (exceeding a 10-week delay) and adversely affects the customer’s business.
FINAL SALE
The Buyer acknowledges that all sales for backordered items are final. Vodanet Systems LLC has no obligation to accept returns for backordered products, except when the products are determined to be defective upon delivery.
DEFECTIVE ITEMS
If the backordered product(s) are found to be defective upon receipt, the Buyer must notify Vodanet Systems LLC within 2 business days of receiving the item. In such cases, appropriate measures will be taken to address the issue, as agreed upon by both parties.
GOVERNING AGREEMENT
Both the Buyer and Vodanet Systems LLC concur that this Backorder Policy governs all backordered products. This policy supersedes any other terms specified within the Buyer’s or Vodanet Systems LLC’s terms, conditions, policies, or agreements. No other document or policy will be applicable to backordered products, including but not limited to: purchase orders, published terms and conditions, or other documents.
GOVERNING LAW AND DISPUTE SETTLEMENT
All acts and transactions pursuant to the terms and conditions mentioned here, including the rights and obligations of the parties, shall be governed, construed, and interpreted in accordance with the laws of New Jersey, without giving effect to principles of conflicts of law. The federal and state courts in Morris County, New Jersey, shall be the exclusive forum for any action brought hereunder, and both parties consent to the jurisdiction of the state and federal courts in Morris County, New Jersey.
ATTORNEY’S FEES
In the event that any suit or action is instituted to enforce any provision in the invoice or any and all acts and transactions pursuant to the this Backorder Policy, Vodanet Systems LLC, in such dispute shall be entitled to recover all fees, costs, and expenses of enforcing any right under or with respect to the invoice this Backorder Policy, including without limitation, reasonable fees and expenses of attorneys and accountants, which shall include, without limitation, all fees, costs, and expenses of appeals. By placing a backorder with Vodanet Systems LLC, the Buyer confirms their understanding and acceptance of these terms and conditions.
